Risk Transfer and Avoidance are two exceptionally important practices for any business. However, they are rarely ever thoroughly explained to those that they are supposed to be helping.

There has been much litigation about the exposure faced by many in the contracting business.  The Texas Legislature and the Courts of Texas have placed significant limitations for those persons who seek to sue a contractor or an owner of a business of land for personal injuries sustained on a job site.  As an example, Texas law presently follows the tenant that a general contractor, or an owner of land, is not an insurer for the injured employee of a subcontractor. Therefore, they are not responsible for injuries unless the owner or General Contractor controlled details of the work of the subcontractor and its employee.  There are exceptions to this general rule of law. As it stands, the subcontractor who has no insurance faces great exposure for financial ruin.

Many small businesses also have contracts which purportedly sets forth terms which force the small business owner to incur the substantial cost of litigation and exposure for personal injuries. These contracts, which operate to the benefit of the owner, usually contains clauses which makes the duties on a work site clear. The owners are not responsible for the details of the job and the status of a subcontractor is specifically described as an independent contractor.

Then too, the prudent business owner will typically obtain an insurance policy which offers the small business some degree of protection.  However, the insurance policy will have limitations on coverage which are typical for the industry.  These clauses are used in an effort to limit the exposure of the insurer to the precise application of insurance for which the policy is issued.    In other words, one should be careful about what the policy says about certain types of claims which often occurs in the world of Contractor operations.
